Calvin Zhang is Senior Partner and Co-Managing Partner of Junkang Law and Juncheng Lawyers Alliance

Calvin is an experienced Chinese lawyer qualified in 2000. He has extensive expertise in advising Asia-Pacific clients and other international clients on both inbound and outbound transactions. He specializes in dispute resolution, litigation and arbitration, general corporate, merger and acquisition, capital investment, setting up new businesses, capital raising, project finance and corporate governance. During his working experience, he has been involved in a number of corporate matters including corporate restructuring, corporate governance involving listed companies, and property transactions involving state-owned enterprises, assets reorganization, IP and trade secrets, and advising clients on daily operational legal affairs.

Calvin's strength is in litigation and arbitration, negotiating and implementing client-driven solutions to complex legal problems. Before joining Junkang, Calvin had taught laws in the University of Texas and worked years with Dacheng & Dentons Law Office (Shanghai), one of China's top law firm and the largest firm in the world. Calvin works in English and Mandarin.

Calvin is frequently invited by the Shanghai East TV Station to act as expert counsel in the program “Crossover on Laws” and comments on famous criminal cases. Calvin has also published many legal commentaries and law review articles on various topics in different legal journals and law reviews and arbitration book.

Representative Cases:

• Representing clients from Fashion, Auto, Healthcare, IT, and Pharmaceutical industries in over 50 litigations at Chinese Courts for various cases and corporate legal matters.

• Representing many European and American 500 MNCs in their litigations of Chinese Court and Arbitration Commissions.

• Acting as a MNC foreign investor’s (M&A projects) Legal Counsel on its proposed wholly-owned PRC venture in Shanghai China: involvement include advising clients on the evaluation of legal risk related, undertaking legal due diligence, review and drafting the letter of intent, memorandum of understanding, project proposal, investment agreement, negotiated land use approval, drafted land use contract, article of association, and all subsidiary contract totaling FDI worth of 80 million.

• Representing a foreign life insurance company in negotiating several acquisitions of equity of a Chinese life insurance company, making arrangement in share transfer, profit remitting and foreign exchange arrangement.

• Representing an Australian joint venture (MACQUARIE PROPERITY) in its general liquidation, including all relating follow-up procedures and registrations.

• Representing JAPAN ITOYA COMMERCIAL CO., LTD in the appellate litigation at the district court in Shanghai: drafting memos, deposition presenting hearing presentations, briefing and argumentation.

• Providing clients assistance in Chinese patent, trademark and copyright registration and enforcement.

•Representing GATES&NITTA SUZHOU in its trademark enforcement and IPR protection.

• Worked on reorganizing and restructuring a Korean joint venture with its equity arrangement. 

• Advising a major international hotel group’s transfer of wholly-owned enterprise in Shanghai, including strategies on negotiation with major PRC asset management companies, debt/equity conversion, four-party Sino-foreign joint venture negotiations, trademark license, settling labor dispute.

• Representing a famous Internet company in the litigation of covenant not to compete and labor dispute at the district court of Shanghai.

• Acting as lead counsel for multinational companies in trademark infringement suits in China.
